These Terms & Conditions govern the provision of services and products offered by ThinkAlternate Technologies Pvt Ltd (including MIRSA SaaS platform and Foundry product-led engineering services). By engaging with our services or subscribing to our products, you agree to be bound by the terms outlined herein. ThinkAlternate Technologies Pvt Ltd (“Company”, “We”, “Us”, “Our”), a company registered in Bengaluru, India.

By accessing or using MIRSA (the “Platform”) or engaging Foundry services, you (“Client”, “User”, “You”) agree to be bound by these Terms. If you do not agree, do not use our products or services.

Definitions

Client, MIRSA, Foundry, Subscription, Engagement, User Acceptance Testing (UAT), Change Request, Beta Feature, Service Level Agreement (SLA).

  • MIRSA – SaaS platform for AI-driven mobile app maintenance.
  • Foundry – Professional engineering, DevOps, AI, and CTO+ services.
  • Subscription – Paid recurring access to MIRSA modules.
  • Engagement – Custom project or service agreement under Foundry.
  • Client Data – All data provided or generated during service.
Eligibility
  • You must be at least 18 years old or a registered business entity.
  • You must have the legal authority to enter into agreements.
Scope of Services

We deliver software products, SaaS platform access, and engineering services as outlined in approved proposals or Statements of Work (SOW). Scope creep will require a formal change request process.

Service Level Agreement (SLA)

For stable production builds (Non Beta version) MIRSA SaaS: 99% uptime commitment, excluding scheduled maintenance. Support response time: within 24 business hours. For Foundry: project delivery timelines and milestones will be mutually agreed.

Engagement Model

Engagements may be subscription-based (MIRSA) or milestone/project-based (Foundry). Detailed engagement terms are provided in each SOW.

MIRSA – Modules include App Health Dashboard, Performax Engine, Ghost Bugs, Cloud Cost Optimization, AppTron, Root Cause Engine, Sentiment Analyzer, App Audit Engine, and other features.

Foundry – Web/Mobile development, DevOps, AI integrations, CTO+, GCC setup, UI/UX, QA automation, and maintenance.

Change Request & Scope Creep

Any change in features, functionalities, integrations, or deliverables must be documented via a Change Request Form. Changes may affect delivery timelines and cost. Scope creep without approval will halt related work until formal acceptance.

  • All prices are in INR for Indian clients and USD/EUR for international clients unless otherwise specified.
  • MIRSA – Subscription fees billed in advance per billing cycle (monthly/annual).
  • Foundry – Engagements billed as per agreed milestones, retainers, or hourly/monthly pods.
  • Taxes (GST/VAT) are charged as applicable.
  • Payment is due within the agreed payment term (default: 7 days from invoice). Late payments may incur interest or service suspension.
  • For Foundry, all payments must be cleared by the UAT completion milestone. No payments are to be withheld until after launch.
  • Monthly retainer and Subscription fees are payable in advance.
Beta Features Disclaimer
Features marked as 'Beta' are experimental and provided 'as-is'. We are not liable for issues during beta usage (e.g., Laya conversational AI).

Approvals & Communication

Approvals should be provided within 3 business days to avoid delays. Official communication will be via email, project management tools, or other agreed channels.

Intellectual Property

All IP developed during the engagement belongs to the Client upon full payment, unless otherwise specified.

Marketing Rights

We may showcase project outcomes, client logos, and testimonials unless explicitly restricted in writing.

Confidentiality

Both parties will keep sensitive information confidential for a period of 2 years post-engagement.

Data Protection & GDPR

We comply with GDPR and Indian IT Act provisions for all personal data processing.

Force Majeure

We are not liable for delays caused by events beyond reasonable control, such as natural disasters, internet outages, strikes, pandemics.

Governing Law & Dispute Resolution

These terms are governed by the laws of India. Disputes will be resolved via arbitration in Bengaluru, Karnataka.
